Third Parties |
Building a site does not include purchasing or leasing web space, nor registering a domain name. |
Project |
The client agrees to the scope of the project as detailed in the 1 Choice Internet Ltd. quotation / proposal supplied to the client. It is agreed that the said quotation / proposal provides a clear indication of the work that is to be carried out under this agreement. It is the client's responsibility to notify 1 Choice Internet Ltd. if there is any discrepancy in the contents of the said quotation / proposal prior to commencing work. |
Change of Scope of Work |
If there are changes in the requirements or scope of the project, or changes or additions during the project term, 1 Choice Internet Ltd. reserves the right to bill for the additional services. |
Payment |
For all orders over £1,000.00 Sterling a non refundable deposit of 50% of the total agreed project value is to be paid in advance of commencement of work. Upon completion of the project the remaining 50% balance must be paid in full before the project is transferred to the client's own domain or made live. Payment must be made IN FULL for orders less than £1,000.00 Sterling before work will commence. Unless agreed otherwise as part of the revised requirements, all payments should be made in Sterling, by direct bank transfer, bankers draft, money order, postal order, or by cheque drawn on a mainland UK bank and payable to "1 Choice Internet Ltd. Ltd.". 1 Choice Internet Ltd. reserves the right to change without notice the rates and charges for any future services. 1 Choice Internet Ltd. will charge £25 for all returned cheques. |
Final Review By client |
1 Choice Internet Ltd. / Molten Gold Ltd. does not consider a project completed until the client signs off on the project's invoice. Within seven (7) days of approval by the client,1 Choice Internet Ltd. / Molten Gold Ltd. will make any minor adjustments to the project at no cost. These only include changes to original content . This does not include: creating new images, re-scanning existing images, scanning new images, adding new buttons, or other functionality. |
Cancellation |
A project can be canceled at any time by either party. However, all material not paid for remains the property of 1 Choice Internet Ltd. and will not be used by the client without payment of outstanding charges. 1 Choice Internet Ltd. retain the right to delete without consultation all material not paid for at the time of cancellation - the client will not be liable to pay for material we delete, or over which we retain ownership. |
Schedules |
Should the agreed time schedule be exceeded by 60 days, due to failings on the part of the client themselves, then an additional 35% of the agreed project value will become payable to 1 Choice Internet Ltd. immediately. The final balance of 15% will only be payable upon completion of the project as detailed above. |
Delay in Client Feedback |
Project prices are calculated to correspond to the delivery period stated in the proposal (usually as part of the Project Management section). Should the client not respond to feedback requests within 21 days we reserve the right to raise a re-familiarisation charge corresponding to 2 hours per member of the delayed project team. The amount of this charge is detailed in the Web Maintenance Service section of the proposal. |
Offensive Material |
We will not knowingly agree to build a site that we consider offensive, and reserve the right not to work on a project, or to cancel existing projects if we subsequently discover them to be offensive. |
Content |
The client must provide all content, including image files. The client is responsible for providing all content (text) for the web site. We can help the client with this. We prefer that the text be provided to us in NotePad or MS Word format. 1 Choice Internet Ltd. reserve the right to charge for formatting text received in any other format. |
Images |
Images should be supplied in appropriate format (GIF or JPG), and each file should typically be under 20kb. 1 Choice Internet Ltd. reserve the right to charge for all reworking or reformatting of images undertaken. |
Copyright |
The client retains the copyright to data, files, and graphic logos provided by the client. Any custom work and/or logos designed by 1 Choice Internet Ltd. for use on the client's site remains the property of 1 Choice Internet Ltd. until full payment is made. At such time the copyright of any custom work and/or logos designed by 1 Choice Internet Ltd. becomes the property of the client. |
Right To Pull |
By signing this agreement, the client agrees to give 1 Choice Internet Ltd. "on demand" access to the client's web site, and further agrees that 1 Choice Internet Ltd. shall have the right to remove the site for failure to adhere to the terms of this Agreement prior to project completion. "On demand" access also requires the client to provide 1 Choice Internet Ltd. with any and all user ids and passwords necessary to reach an ftp location. |
Post-Production Alterations |
1 Choice Internet Ltd. will not accept responsibility for any alterations made by a third party to the client's site once installed. |
Maintenance |
1 Choice Internet Ltd. provides maintenance on an as-needed basis to our clients which is charged on an agreed hourly rate. Our standard working practice is NOT to require the client to retain 1 Choice Internet Ltd. although this service is available upon request. |
Scripts |
Construction of a form does not include construction of the script for handling data generated by that form. Since any set of data can be used in many different ways, the client must provide us with clear explanations of what the client wants the script to do. If we have to liaise with the client we will charge for the time involved. If the required behaviour entails construction of additional web pages or page templates they will be charged for. |
Amendments |
We reserve the right to amend these conditions, and to add new conditions to this list of conditions, as circumstances dictate. The client will be notified in writing detailing any change prior to its instigation. If the client has any uncertainties about these conditions and how they might apply to you or this project, it is the client's responsibility to clarify the situation by contacting 1 Choice Internet Ltd. before the project gets under way. |
Warranty |
SERVICES PROVIDED BY 1 CHOICE INTERNET LTD. ARE PROVIDED ON AN "AS IS" BASIS. 1 CHOICE INTERNET LTD. MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, FOR THE SERVICE IT IS PROVIDING, INCLUDING, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL 1 CHOICE INTERNET LTD. BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, INTERRUPTION OF BUSINESS, OR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND. |
Confidentiality |
Both the client and 1 Choice Internet Ltd. acknowledge that they may receive confidential information about the other party's business. Both parties agree not to disclose confidential information to the third parties. Upon request, all confidential information will be returned to its respective owner. |
Legal Fees |
The client agrees to pay reasonable legal fees and any other reasonable fees required to enforce all terms and conditions of this agreement. In addition, the client agrees to reimburse 1 Choice Internet Ltd. any amounts made on behalf of collecting on delinquent payments or required to enforce the payment terms of this contract. |
Applicable Law |
This agreement shall be governed by English Law. |
